ComplianceJunction-Exxat Training School

These Terms and Conditions ("Terms") govern access to and use of the dedicated ComplianceJunction-Exxat online training school, including the courses, assessments, certificates and related services made available through it (collectively, the "Services").
Please read these Terms carefully. By creating or activating an account, accessing a course, or using the Services, you agree to these Terms.
1. Purpose of This School This online school has been established by ComplianceJunction exclusively to support the partnership between ComplianceJunction and Exxat. Access to this school is exclusively for Exxat customers and their authorized users. This school is not available for use by the general public, direct ComplianceJunction customers, customers of other ComplianceJunction partners, or any other unauthorized users. Authorized users may include students, faculty, employees or other individuals whose access to ComplianceJunction training has been arranged through an eligible Exxat customer. By creating or activating an account, accessing a course, or using the Services, you confirm that you are an authorized user associated with an eligible Exxat customer. If you are not an authorized user of an eligible Exxat customer, you may not access or use this school.
2. About ComplianceJunction ComplianceJunction provides online compliance education and training for healthcare organizations, healthcare education programs, students, employees and other healthcare-sector participants. ComplianceJunction provides the training courses, course content, assessments and certificates available through this school. 3. The ComplianceJunction-Exxat Partnership This school is a dedicated training environment established specifically to support the partnership between ComplianceJunction and Exxat. Through this partnership, eligible Exxat customers can provide their authorized users with access to designated ComplianceJunction compliance training. ComplianceJunction is responsible for the ComplianceJunction training content, courses, assessments and certificates provided through this school. Exxat facilitates access to the ComplianceJunction training offering for eligible Exxat customers as part of the partnership between Exxat and ComplianceJunction. The online learning environment is operated using technology provided by LearnWorlds. Nothing in these Terms makes Exxat the provider, author or owner of ComplianceJunction training content.
4. Eligibility and Authorized Access Access to this school is restricted to authorized users of eligible Exxat customers participating in the ComplianceJunction-Exxat training offering. You may access the Services only where your access has been authorized or arranged through an eligible Exxat customer. Access may not be transferred, resold or provided to another individual or organization. ComplianceJunction may verify eligibility to access the school and may suspend or terminate access where we reasonably believe that a user is not associated with an eligible Exxat customer or has otherwise obtained unauthorized access.
5. Your Account You may be required to create or activate an individual account to access the Services. You agree to provide accurate information and to keep your account information reasonably up to date. Your account is personal to you. You must not: - share your login credentials with another person; - allow another person to complete training or assessments on your behalf; - complete training or assessments on behalf of another person; - access another learner's account; - impersonate another learner; - create an account using false or misleading information; or - attempt to falsify course completion, assessment results or certification records. You are responsible for maintaining the confidentiality of your account credentials. Please contact ComplianceJunction promptly if you believe your account has been accessed without authorization.
6. Course Assignments and Training Your Exxat customer organization may determine which ComplianceJunction courses are made available or assigned to you. Courses may include videos, written materials, interactive content, case studies, knowledge checks, assessments, examinations or other learning activities. A course may require you to: - complete specified modules or learning activities; - complete required course content; - achieve a minimum assessment score; - complete an assessment without unauthorized assistance; and - satisfy other completion requirements established for the applicable course. Completion requirements may vary between courses. Where permitted, learners may be given additional attempts to successfully complete an assessment.
7. Course Completion and Certificates Where applicable, ComplianceJunction may issue a certificate following successful completion of a course. Certificates are issued to the individual learner who successfully completed the applicable training and may not be transferred to another person. A certificate records successful completion of the applicable ComplianceJunction course. A ComplianceJunction certificate does not constitute a professional license, academic degree, authorization to practice a profession, or independent confirmation that every legal, regulatory, institutional, employer or clinical-site requirement applicable to the learner has been satisfied. The applicable Exxat customer remains responsible for determining the training and compliance requirements applicable to its students, employees or other authorized users.
8. Continuing Education and Accreditation Certain ComplianceJunction courses may qualify for continuing education credits or may be recognized or accredited by professional or accreditation organizations. Where applicable, accreditation, continuing education credit, eligibility requirements and credit amounts will be identified in the relevant course information. Accreditation or continuing education approval for one ComplianceJunction course does not automatically apply to another course. Learners are responsible for confirming that a particular course or continuing education credit meets any requirements applicable to their profession, licensing body, university, employer or other relevant organization.
9. Educational Purpose ComplianceJunction courses are designed to provide education and training on healthcare compliance and related subjects. The Services and course materials do not constitute legal advice, medical advice or other professional advice. Healthcare laws, regulations, standards and regulatory guidance can change, and requirements may vary according to jurisdiction, organization, profession and circumstances. ComplianceJunction works to maintain accurate and current training content and may update courses from time to time to reflect changes in applicable laws, regulations, regulatory guidance, professional standards and recognized best practices.
10. Institutional Responsibility ComplianceJunction provides training that can help Exxat customers meet their compliance education and training requirements. Each Exxat customer remains responsible for determining: - which training is required for its users; - which individuals must complete that training; - how frequently training must be completed; - whether refresher or renewal training is required; - whether a particular course meets its own requirements; and - whether additional institutional, employer, clinical-site, licensing or regulatory requirements apply. Successful completion of a ComplianceJunction course does not guarantee compliance with every legal, regulatory, institutional, employer or clinical-site requirement that may apply to a learner or organization.
11. Training Records and Reporting As part of the ComplianceJunction-Exxat partnership, information relating to your training may be made available to the Exxat customer that arranged or authorized your access. Where required to provide the Services, relevant information may also be exchanged between ComplianceJunction, Exxat and the applicable Exxat customer for purposes including account administration, course assignment, training delivery, compliance tracking, reporting and technical support. This information may include: - your name; - email address; - user or enrollment identifier; - assigned courses; - enrollment status; - training progress; - completion status; - assessment result or score, where applicable; - certificate status; - completion date; and - certificate expiration or renewal date, where applicable. Information is shared only where appropriate for the provision and administration of the authorized Services or where otherwise authorized or required by law. The collection, processing and sharing of personal information is further explained in the applicable Privacy Policy.
12. Acceptable Use You agree to use the Services only for lawful educational and training purposes. You must not: - copy, reproduce or redistribute course content except where expressly permitted; - record course videos or other content without authorization; - download content where downloading has not been enabled; - share course materials with unauthorized persons; - sell, sublicense or commercially exploit course content; - remove copyright, trademark or proprietary notices; - attempt to bypass course completion requirements; - attempt to bypass or manipulate assessment controls; - manipulate training records, assessment results or certificates; - use automated systems, bots or scripts to complete training; - interfere with the operation, integrity or security of the Services; - attempt to gain unauthorized access to systems, accounts or information; or - use ComplianceJunction content to create or develop competing training materials, courses, products or services without written permission from ComplianceJunction.
13. Intellectual Property Unless otherwise stated, ComplianceJunction course content and training materials, including text, graphics, videos, assessments, questions, case studies, course structures, downloadable materials, certificates, branding and related materials, are owned by or licensed to ComplianceJunction and are protected by applicable intellectual property laws. You receive a limited, personal, non-exclusive, non-transferable and revocable right to access and use the materials made available to you solely for your own authorized education and training. No ownership rights in ComplianceJunction content are transferred to you. "Exxat" and any Exxat names, logos or trademarks displayed within the Services remain the property of their respective owners and are used in connection with the ComplianceJunction-Exxat partnership.
14. Availability of the Services ComplianceJunction aims to make the Services reliably available but cannot guarantee uninterrupted or error-free access. Access may occasionally be affected by maintenance, security updates, internet connectivity, hosting failures, third-party technology issues or circumstances outside our reasonable control. ComplianceJunction may update, modify or improve the Services, course materials, assessments or platform functionality from time to time.
15. Suspension or Termination of Access ComplianceJunction may suspend or terminate access to the Services where we reasonably believe that a user: - is not an authorized user of an eligible Exxat customer; - has breached these Terms; - has shared account credentials; - has misused the Services; - has attempted to circumvent training or assessment requirements; - has falsified or manipulated training records; - has infringed intellectual property rights; - poses a security risk; or - has used the Services unlawfully. Access may also end where the applicable Exxat customer's entitlement to the Services ends or where the Exxat customer withdraws or changes a user's authorization.
16. Purchases and Payments This school is exclusively for eligible Exxat customers and their authorized users. Commercial terms governing access to ComplianceJunction training through this school are established separately between the relevant parties and do not form part of these learner Terms and Conditions. Individual users should not use this school to obtain ComplianceJunction training unless their access has been authorized through an eligible Exxat customer.
17. Third-Party Technology ComplianceJunction uses third-party technology providers to operate and support the Services. This includes LearnWorlds, which provides technology used to host and deliver the online learning environment. The Services may also interact with Exxat systems to facilitate access, administration, course assignment, reporting or other functionality associated with the ComplianceJunction-Exxat partnership. Third-party technology may be subject to the applicable provider's own terms, privacy practices and technical requirements. ComplianceJunction is not responsible for third-party websites or services that are outside our reasonable control.
18. Privacy, Data Use and Marketing ComplianceJunction respects the privacy of users of this school and processes personal information in accordance with its Privacy Policy and applicable privacy and data protection laws. This school is provided exclusively to support the ComplianceJunction-Exxat partnership. Personal information collected through this school will be used only for purposes connected with providing, administering, supporting, securing and improving the authorized training Services, or as otherwise authorized or required by applicable law.
No Sale of User Data ComplianceJunction does not sell user personal information. ComplianceJunction does not sell, rent or trade learner information or provide learner information to third parties for their own marketing or unrelated commercial purposes.
No Unauthorized Sharing of User Data ComplianceJunction will not share, disclose or provide user personal information to third parties for their own marketing or unrelated commercial purposes unless the user, the applicable Exxat customer, or another party with appropriate authority has expressly authorized such use. Information may be shared with Exxat, the applicable Exxat customer, LearnWorlds and other authorized service providers only where appropriate to provide, administer, support, secure or report on the Services, or where otherwise authorized or required by law. This may include information such as a user's name, email, enrollment information, assigned courses, training progress, completion status, assessment result, certificate status, completion date and certificate expiration or renewal date.
No Unauthorized Marketing to Users ComplianceJunction will not use personal information obtained through this school to send users marketing, promotional or sales communications unless such communications have been appropriately authorized or the user has separately provided any consent required under applicable law. Enrollment in ComplianceJunction training through an Exxat customer does not, by itself, constitute consent to receive marketing communications from ComplianceJunction. ComplianceJunction will not use learner information obtained through this school to build marketing lists, sell leads, or market unrelated products or services to users without appropriate authorization. Where a user has separately opted in to receive marketing communications, the user may withdraw that consent or unsubscribe at any time.
Authorized Service Providers ComplianceJunction may use authorized service providers, including LearnWorlds, to process personal information where necessary to operate and deliver the Services. These providers process information in connection with the services they provide and are not authorized by ComplianceJunction to use learner personal information for their own independent marketing purposes.
Aggregated and De-Identified Information ComplianceJunction may use aggregated or de-identified information that does not identify individual users for legitimate purposes such as service improvement, quality assurance, reporting, analytics and development of the Services. Please review the applicable Privacy Policy for further information about: - the personal information we collect; - why and how we use it; - when and with whom it may be shared; - service providers that process information on our behalf; - data retention; - international transfers, where applicable; and - your privacy rights. 19. Security ComplianceJunction takes reasonable administrative, technical and organizational measures designed to protect information processed through the Services. You are responsible for helping protect your account by keeping your login credentials confidential and using appropriate security practices. No online service or method of electronic storage can guarantee absolute security.
20. Disclaimer ComplianceJunction takes reasonable care in developing and maintaining its training materials. However, except where prohibited by applicable law, the Services are provided for educational purposes and ComplianceJunction does not warrant that: - course content will address every law or requirement applicable to a particular learner or organization; - completion of a course will itself establish legal or regulatory compliance; - a particular regulator, employer, university, licensing authority or clinical site will accept a course or certificate for a particular purpose; or - the Services will always operate without interruption or error. Nothing in these Terms excludes any rights or remedies that cannot lawfully be excluded.
21. Limitation of Liability To the maximum extent permitted by applicable law, ComplianceJunction will not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of, or inability to use, the Services. ComplianceJunction is not responsible for decisions made by an Exxat customer, university, employer, healthcare organization, clinical site, credentialing provider, licensing authority, regulator or other third party concerning a learner's compliance status, eligibility, enrollment, clinical placement, employment, credentialing, licensing or professional practice. Nothing in these Terms excludes or limits liability where such exclusion or limitation would be prohibited by applicable law.
22. Changes to These Terms ComplianceJunction may update these Terms from time to time to reflect changes to the Services, the ComplianceJunction-Exxat training offering, technology, business practices or applicable legal and regulatory requirements. The current version will be published within this school with an updated effective date. Where required by applicable law, additional notice of material changes will be provided.
23. Governing Law These Terms and any dispute arising from them will be governed by the laws applicable to the ComplianceJunction legal entity providing the Services, without prejudice to any mandatory rights that apply under applicable law. Any dispute will be subject to the jurisdiction of the appropriate courts, subject to any mandatory jurisdictional rights that cannot lawfully be excluded.
24. General If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect. A failure by ComplianceJunction to enforce a provision of these Terms does not waive its right to enforce that provision later. These Terms, together with the applicable Privacy Policy and any other policies expressly applicable to use of this school, govern an individual user's access to and use of the Services. These Terms govern learner use of this school and do not replace or modify any separate commercial agreement between ComplianceJunction and Exxat or between ComplianceJunction and an eligible Exxat customer.

Authorized Service Providers ComplianceJunction may use authorized service providers, including LearnWorlds, to process personal information where necessary to operate and deliver the Services. These providers process information in connection with the services they provide and are not authorized by ComplianceJunction to use learner personal information for their own independent marketing purposes.
Aggregated and De-Identified Information ComplianceJunction may use aggregated or de-identified information that does not identify individual users for legitimate purposes such as service improvement, quality assurance, reporting, analytics and development of the Services. Please review the applicable Privacy Policy for further information about: - the personal information we collect; - why and how we use it; - when and with whom it may be shared; - service providers that process information on our behalf; - data retention; - international transfers, where applicable; and - your privacy rights. 19. Security ComplianceJunction takes reasonable administrative, technical and organizational measures designed to protect information processed through the Services. You are responsible for helping protect your account by keeping your login credentials confidential and using appropriate security practices. No online service or method of electronic storage can guarantee absolute security.
20. Disclaimer ComplianceJunction takes reasonable care in developing and maintaining its training materials. However, except where prohibited by applicable law, the Services are provided for educational purposes and ComplianceJunction does not warrant that: - course content will address every law or requirement applicable to a particular learner or organization; - completion of a course will itself establish legal or regulatory compliance; - a particular regulator, employer, university, licensing authority or clinical site will accept a course or certificate for a particular purpose; or - the Services will always operate without interruption or error. Nothing in these Terms excludes any rights or remedies that cannot lawfully be excluded.
21. Limitation of Liability To the maximum extent permitted by applicable law, ComplianceJunction will not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of, or inability to use, the Services. ComplianceJunction is not responsible for decisions made by an Exxat customer, university, employer, healthcare organization, clinical site, credentialing provider, licensing authority, regulator or other third party concerning a learner's compliance status, eligibility, enrollment, clinical placement, employment, credentialing, licensing or professional practice. Nothing in these Terms excludes or limits liability where such exclusion or limitation would be prohibited by applicable law.
22. Changes to These Terms ComplianceJunction may update these Terms from time to time to reflect changes to the Services, the ComplianceJunction-Exxat training offering, technology, business practices or applicable legal and regulatory requirements. The current version will be published within this school with an updated effective date. Where required by applicable law, additional notice of material changes will be provided.
23. Governing Law These Terms and any dispute arising from them will be governed by the laws applicable to the ComplianceJunction legal entity providing the Services, without prejudice to any mandatory rights that apply under applicable law. Any dispute will be subject to the jurisdiction of the appropriate courts, subject to any mandatory jurisdictional rights that cannot lawfully be excluded.
24. General If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect. A failure by ComplianceJunction to enforce a provision of these Terms does not waive its right to enforce that provision later. These Terms, together with the applicable Privacy Policy and any other policies expressly applicable to use of this school, govern an individual user's access to and use of the Services. These Terms govern learner use of this school and do not replace or modify any separate commercial agreement between ComplianceJunction and Exxat or between ComplianceJunction and an eligible Exxat customer.
